Benefits of a Pre- Established US Corporation

"Privacy Haven for Non-U.S. Citizens."

------

Shelf corporations in the United States have many profound business purposes. They are frequently used for holding personal or business assets.  Another common purpose for the creation of a shelf corporation is as a turn-key business package that can later be sold to someone who wants to start and operate a company without going through the effort to form a new one.   Others might benefit who may not qualify for a bank loan, line of credit, or government contract because they or their existing company does not have the required credit scores or a two to five year established business history.  By purchasing a shelf corporation, an entrepreneur now instantly owns an established company that has been "in business" for several years without debts or liabilities.

For Non-U.S. citizens, owning a shelf corporation in the United States may enhance privacy and open new markets.  Since the United States is not a participant in the OECD Common Reporting Standards, it is often looked upon as a privacy haven for non-citizens looking to invest here.  The Common Reporting Standard (“CRS”),  was created by the OECD in 2014 pursuant to a meeting of the G-20 nations in Australia and calls for the automatic exchange of financial account information between agreeing jurisdictions. It should also be noted, however, that to open a bank account, Non-U.S. citizens will likely need to travel to the United States and meet with potential banks.

Therefore by owning a pre-established corporate entity, you are able to take advantage of the following benefits:

1- Instant availability & fast delivery
2- Show longevity of company filing
3- Immediately own a company with a filing history
4- Ready for immediate transfer as no stock is currently issued
5- May help when applying for contracts and financing

How to Protect Long-Term Cognitive Health

Brain health should be a priority for everyone.

-------

Cognitive health is not something to take for granted. Although a certain level of memory loss can be expected as people age, when the ability to clearly think, learn and remember is compromised, those changes can affect an individual's ability to perform daily activities and should serve as a cause for concern.

Brain health should be a priority for everyone. The National Institute on Aging says brain health is an umbrella term that encompasses a host of factors, including:

· cognitive health, which is how well you think, learn and remember

· motor function, or how you make and control movements

· tactile function, which is how you feel sensations; and

· emotional function, or how emotions are interpreted and responded to.

Individuals can safeguard brain health - particularly cognitive health - by taking these steps.

Be more health-conscious

Working with doctors, individuals can put their health first. This includes getting routine screenings, managing chronic health problems, limiting or avoiding alcohol and nicotine products, and getting the recommended amount of sleep each night.

Manage high blood pressure

All chronic conditions cause long-term repercussions, but the NIA indicates that observational studies show having high blood pressure in mid-life increases the risk of cognitive decline later in life. Lowering blood pressure lowers the risk for mild cognitive impairment and possibly dementia.

Challenge your brain

Harvard Medical School says nurturing social contacts, engaging in stimulating mental activities like reading and doing puzzles, seeing new places, and learning new things can help keep the brain in top form.

Manage stress

Stress can take its toll on the body, and there is reason to believe that it may adversely affect cognitive health as well. Make every stride to reduce stress, whether that involves taking vacations, meditating, laughing with friends and family, or engaging in relaxing activities that relieve stress.

Get enough vitamin D

Vitamin D is linked to a host health benefits, including its potential to promote a healthy brain. Individuals can get more time outdoors to get vitamin D naturally from the sun and eat foods rich in vitamin D. If doctors find that vitamin D levels are exceptionally low, supplementation can help.

Pay attention to hearing loss

Certain hearing loss has been linked to cognitive decline, says Healthline. Researchers in Italy concluded that people with central hearing loss had a higher risk of mild cognitive impairment than those with no hearing loss or peripheral hearing loss. Individuals with central hearing loss are urged to speak to their physicians to determine if they can take preventive action to stave off further decline.

Cognitive health should be a priority. Adults can employ various strategies to reduce their risk of cognitive decline as they age.

Business Etiquette

How to Respond to Bullying at Work

by Candace Smith
The Etiquette Blog
Candace Smith Etiquette

Biography:  Candace Smith, wife of Nobel Prize-Winner Professor Dr. Vernon Smith and owner of the extraordinary blog, “Etiquette for the Business of Life” as featured by BBC, Chicago Tribune and USA Today offers her insights.

-------

Were you to quiz employees on business etiquette, most likely everyone would regard bossiness and bullying as out of bounds.  When what appear to be balance of power issues arise, others in the workplace can feel intimidated when they witness unprofessional acting out. My knowledge on this subject is pooled from friends in the corporate world.

What Bossiness and Bullying May Look Like

Does an employee show these patterns?

  • Needing to always be right and have the final say, regardless.
  • Unwillingness to admit the need for change.
  • Passive aggressive behavior that causes others to look over their shoulder.
  • Demoralization and blaming of others.
  • Jumping into conversations between manager and another employee to give instruction or correction.
Manipulation and control may be the ultimate goal with these kinds of behavior. Additional examples include:
  • Giving orders or defying the leadership role of others.
  • Micromanaging or manipulating by withholding necessary information to be in control.
  • Teasing, taunting, interrupting, spreading rumors, blaming, and publicly embarrassing.
  • Breaking, intentionally losing, or damaging personal or office supplies.
  • Undermining projects.
  • Setting the boss or others up for failure.
  • Non-compliance, avoidance of instruction, and judgmental or accusatory tone or criticism.
These behaviors are not only disruptive, but they also intimidate others and cause division and confusion in a team structure. It is up to leadership to manage situations like this to ensure a cohesive team stays intact.

Take Immediate Action

The sooner the issue is handled the better for everyone.  When a person comes to understand they can get away with bossiness and bullying, the negative behavior will continue and may even escalate.

Redirection must be made by leadership.  An initial conversation with the employee might determine why the behavior is taking place, or if the employee is even aware of their negativity.

Speak to the employee alone in an etiquette-ful and sincere way.  You are aiming to discourage the behavior, not the person.
  • “John, sometimes your light teasing is funny, but some of us felt that what you said in our team meeting earlier crossed the line.  Did you realize what you were saying?  Come on, we need your expertise!"
  • “Chris, I experience your corrections as bossy.  Do you understand that you’re coming across that way?  We need you on these projects, but your behavior is counterproductive."
Consider what the person believes they need that they are not getting.  Is the person aware of how they are coming across?

Many times, especially when an employee is in the midst of a personal issue or crisis this is the root cause of their actions, a conversation like this will result in behavior correction.  Or the person is more aware of the effect they are having on the team and will moderate their negativity.
However, if change is not forthcoming, additional assistance is necessary.
  • Get support and possible intervention of others in the organization who have more influence.
  • Is the organizational structure an underlying problem?
  • Involve others to assess organizational structure for creating a way to air needs and employee concerns.
A Learning Opportunity for Management

Investigating how you might be viewed in your leadership role is an opportunity to learn.
Do peers and employees view you
  • As a micromanager
  • As unfairly or unequally delegating or dividing the workload
  • As someone whose standards are unrealistic
  • As someone who is egotistical and unappreciative
The best work relationships and workplace productivity occurs when there is mutual respect between executives, managers, and employees.  Consider the following in your own Leadership Integrity Self-examination:
  • Do I etiquette-fully aim to keep civility integral to my leadership?
  • Do I communicate with the maintenance staff, administrative staff, and direct reports with the same respect as those in leadership roles?

Recognizing how you might contribute to your employees’ behavior – negative or positive – is a mark of a good leader.  There will always be outliers, but when respect and trust are the major aspects of work relationships, you can be assured that productivity will be consistent.

-------

It’s time to discuss mushrooms, and why they may just be so much more than just another pizza topping!

So, how beneficial can this nondescript fungi really be?  The short answer is…very beneficial. Mushrooms are one of nature's richest nutrient sources full of protein, fiber, Vitamins B and D, copper, selenium, pantothenic acid, niacin, potassium and beta-glucans. Their mineral and nutrient powerhouse status is so intense that medical studies at City of Hope have shown that mushrooms can actually help suppress breast and prostate cancer cell growth in cell cultures.

Selenium in and of itself is an incredibly potent antioxidant that helps the cells in our bodies ward off illness and support our immune systems. Beta-glucans are also very effective in stimulating the immune system and have anti-carcinogenic properties.

Vitamin D...well we all know how important that is for optimal immune function, and the B vitamins are incredible for digestion, heart health, and great looking skin!  The potassium in mushrooms adds to the health benefits by promoting a healthy nervous system and copper is super important for bone health.  Are you starting to see why these are such incredible superfoods?  I love geeking on this kind of stuff, so you'll have to bear with me if I get a little overexcited!

Now, while all mushrooms are good for you (obviously not the poisonous ones, folks...), there are some that are like the VIPs of the fungi world.  These are the ones worth focusing on medicinally and preventatively and can be used in your favorite savory dishes, or found in tincture or capsule form in case you don’t love the taste and texture of mushrooms.

Chaga: This little guy is a powerhouse adaptogen that helps your body deal with and adapt to stressors.  In traditional/natural medicine it is used to support immune function, skin, digestion, and detoxification.  It's also known as the "King of Mushrooms"....for good reason!

Cordyceps:
This is another powerful adaptogen that helps your body deal with stress as well as promotes healthy energy levels, support lung and kidney health, and is good for sexual health as well.

Lion's Mane:  This mushroom is used to support cognitive function and memory.  It also aids in healthy digestion, and has compounds that help nourish the brain. Lion's Mane is also known as a nootropic.  Nootropics are natural supplements known to promote neurological health and function as well as support a healthy mood.  As if this weren't enough, this is also another great mushroom for supporting your immune system.

Maitake: This mushroom is excellent for supporting cardiovascular health, the immune system, digestion, and helps in maintaining healthy blood sugar levels.

Reishi: Here we have yet another adaptogen that helps the body deal with stress as well as promotes healthy sleep patterns, and benefits your liver, kidneys, heart, and overall immune function. In natural medicine this mushroom has been used to promote a long life and is an anti-inflammatory with anti-tumor properties.

Shiitake:
This is quite possibly one of the most vitamin rich mushrooms, loaded with vitamins B and D, and it also supports the heart, organs, and immune system.

Turkey Tail:
Last but not least, this mushroom is used in natural medicine to promote healthy skin, immune function, cellular health, and is beneficial to your lungs, heart, kidney, and liver.

There you have it!  Mushrooms are more than just food, they have truly incredible health benefits for nearly every part of our bodies. One may say they are kind of magical, and definitely worth adding to your next shopping list…your health will thank you for it!

Mardi Gras is Next Week!

All you need for Fat Tuesday.

-------

Mari Gras is French for "Fat Tuesday," also called Shrove Tuesday.  During Lent, many Christians fast, and the name Fat Tuesday refers to the last day of eating richer foods before the leaner days of Lent begin. This year Mari Gras - most often associated with New Orleans - will be celebrated on Tuesday,  February 21st and it is fast approaching.

New Orleans Mardi Gras 2023

If you can't make it to the French Quarter to indulge in a hurricane or two this Mardi Gras, fear not. Hurricanes are a relatively simple concoction that amateur mixologists can whip up at home or wherever they're spending Mardi Gras this year.

According to Liquor.com, hurricanes can be traced to New Orleans tavern owner Pat O'Brien, who dreamt up the boozy concoction in the 1940s. Legend has it that O'Brien needed a way to offload the rum he was forced to purchase from local distributors. The now beloved concoction known as the hurricane, so called because it was initially served in hurricane lamp-shaped glasses, is now available at various establishments throughout the French Quarter. That includes Pat O'Brien's Bar, which has been open since 1933.

When celebrating Mardi Gras this year, this recipe for Hurricanes, courtesy of Liquor.com, can help you get in the spirit of this festive occasion.

Hurricane

2 ounces white rum

2 ounces dark rum

1 ounce lime juice

1 ounce orange juice

2 ounces passion fruit juice

1/2 ounce simple syrup

1/2 ounce Grenadine

Garnish: 1 orange wheel and

cherry

Add all the ingredients to a shaker and fill with ice. Shake, and strain into a large Hurricane glass filled with fresh ice. Garnish with an orange half-wheel and a cherry.

Why Hire a Personal Chef

An affordable luxury for your next event.

-------

More than ever, Americans are pressed for time. Between a grueling commute, raising children, and a day full of Zoom meetings, who has time to cook a nutritious dinner? As time becomes one of our most precious commodities, we often rely on quick but unwholesome mealtime solutions such as high calorie fast food, fattening take out, or frozen entrées. Enter the newest weapon in the fight against the daily grind: personal chef services.

A less costly alternative to a full-time private chef, personal chefs develop customized meal plans based on a client's specific tastes and dietary objectives. Entering the client's home with pots, pans, and fresh foods, the chef will prepare one to two weeks of entrées that are conveniently packaged, labeled, and ready to heat.

David Fischbein, President of Big City Chefs, a nationwide personal and private chef service brand operating in nearly a dozen major metropolitan markets, notes, "Our clients tell us they feel more productive and relaxed by reducing the time they previously spent cooking, grocery shopping, or eating out at pricey restaurants." He adds that clients rave about the company's hand-picked professional chefs, who include veterans from the restaurants of celebrity chefs such as Wolfgang Puck and Emeril Lagasse.

According to Fischbein, "Personal chef services provide a convenient and affordable luxury that allows Americans to reclaim their stressful lives.

Benefits of Using a Travel Agent

Save yourself time & frustration.

-------

Thanks to the bevy of online booking sites just a few keystrokes away, many would-be vacationers have taken to planning their own vacations. But travel agents still provide valuable services that savvy travelers know can make the difference between an ordinary getaway and one travelers remember for the rest of their lives.

As tempted as travelers may be to book their own vacations, the following are a few of the many benefits of working with a travel agent when planning your next getaway.

· Experience: Many travelers want to explore foreign countries or cities they have never visited when going on vacation, and planning such excursions can be a daunting if not intimidating task. Many travel agents specialize in certain countries or regions of the world, and their experience can remove the stress and intimidation from planning an overseas adventure. Even travelers who are not leaving the country can benefit from the services of a travel agent who can share information gleaned from past clients about places to visit and places to avoid within a given city.

· Support: Travelers who book their own trips via online booking sites or other faceless agencies may have no one to look to for help should something go awry on their trip. But travel agents can be a go-to source should something go wrong with a reservation. Travel agents routinely work with hotel chains and touring groups, and they no doubt have already handled every type of problem travelers may encounter on their trips. That sense of support and security can help travelers rest easier should anything go wrong.

· Perks: Booking a trip yourself may seem like a great way to plan the most memorable vacation possible, but travel agents often have access to perks that travelers who go it alone are not privy to. Travel agents may be able to arrange for room or car rental upgrades at no additional cost or get their clients reservations at exclusive restaurants where travelers who go it alone will be shut out of. These perks can turn an ordinary trip into the best vacation of your life.

· Time: Planning your own vacation is a time-consuming process that can seem like a second job. If you want to go that route and still have a memorable vacation, you should expect to spend hours on end looking for the best deals and the must-see places to visit while simultaneously figuring out a plan to get from point A to point B to point C and so on. Travel agents plan such trips for a living and can speak to you about what you want out of a given trip before they spend the time necessary to tailor a getaway to suit your every need.

· Trends: Even if you do all of your own exhaustive research, travel agents will still likely know more about your potential destination than you will. That's because travel agents are plugged into the industry in ways that few, if any, outside the travel business can ever be plugged in. If you want a truly unique trip that's unlike any your friends or family members have ever taken, then lean on a travel agent who's in the know about the latest trendy hotels or luxury offerings at destinations across the globe.

Many people are tempted to plan and book their own vacations without ever consulting a travel agent. But travel agents are an invaluable resource for travelers who hope their next trip proves to be the vacation of a lifetime.
